These Terms of Service govern your use of SteadRank.com and services provided by DIGITech LLC, doing business as Stead Rank ("Stead Rank," "we," "us," or "our"). By using our website or purchasing services from us, you agree to these Terms and to any proposal, statement of work, invoice, or service agreement that applies to your engagement.
Services
Stead Rank provides local SEO optimization, website design and development, and related digital marketing services for local service businesses. Specific deliverables, pricing, schedules, and responsibilities are described in the applicable proposal, order, invoice, or service agreement.
Client Responsibilities
Clients agree to provide accurate information, timely feedback, required account access, content, approvals, and other materials reasonably needed to perform the services. Delays in providing these items may affect delivery timelines.
Fees and Payment
Fees are due according to the payment schedule stated in the applicable proposal, invoice, or agreement. Recurring services may be billed automatically using the payment method on file when authorized by the client. Past-due accounts may be paused until payment is received.
Recurring Services and Cancellation
Recurring services continue until canceled according to the applicable service agreement or written billing terms. Unless a separate agreement says otherwise, cancellation stops future recurring charges but does not create a refund for services already performed, time already reserved, or work already in progress.
Refunds
Because our services involve professional time and customized digital work, payments are generally non-refundable once work has begun. If a refund is specifically required by a signed agreement or approved by us in writing, it will be handled according to those terms.
SEO and Marketing Results
Search rankings, traffic, leads, revenue, and other marketing outcomes depend on many factors outside our control, including competition, search-engine changes, client actions, market demand, website history, and third-party platforms. We do not guarantee any specific ranking, traffic level, lead volume, or revenue outcome.
Website Projects
Website project scope, revisions, content responsibilities, ownership, hosting, maintenance, and launch requirements will be governed by the applicable proposal or agreement. Third-party software, themes, plugins, hosting platforms, fonts, images, or services may have their own license terms and fees.
Intellectual Property
Unless otherwise stated in writing, each party retains ownership of materials it owned before the engagement. Upon full payment, clients receive the rights to final custom deliverables specified in the applicable agreement, excluding our pre-existing tools, processes, templates, know-how, software, and third-party materials.
Acceptable Use
You may not use our website or services for unlawful, fraudulent, abusive, infringing, or malicious activity, or in a way that interferes with our systems or the rights of others.
Third-Party Services
Our services may interact with third-party platforms such as Google, hosting providers, analytics tools, domain registrars, and payment processors. We are not responsible for outages, policy changes, account suspensions, algorithm changes, or other actions taken by third parties.
Disclaimer of Warranties
Except as expressly stated in a written agreement, our website and services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the fullest extent permitted by law, DIGITech LLC and Stead Rank will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost business opportunities, or losses caused by third-party platforms. Our aggregate liability arising from a specific service engagement will not exceed the amount paid to us for that engagement during the three months preceding the event giving rise to the claim, unless applicable law requires otherwise.
Indemnification
You agree to indemnify and hold harmless DIGITech LLC, Stead Rank, and our personnel from third-party claims arising from materials you provide, your misuse of the services, your violation of law, or your infringement of another party's rights.
Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute will be brought in a court of competent jurisdiction in Clark County, Nevada, unless the parties agree otherwise in writing.
Changes to These Terms
We may update these Terms from time to time. The current version will be posted on this page with an updated effective date. Changes do not alter a separately signed agreement unless that agreement permits them.
